This document constitutes a binding agreement (the “Agreement”) between you (the “User”) and KaribFusion LLC, doing business as KariBites (“KariBites,” “we,” “us,” or “our”). By accessing and/or using the websites (including karibites.com, related mobile sites, mobile applications, and selected other domains – collectively, the “Websites”), you acknowledge and agree to be bound by the terms set forth in this Agreement. If you do not agree, please do not access or use the Websites.

1. About KariBites

1.1 Company Information

• Ownership: The Websites are the property of KaribFusion LLC, a limited liability company with registered offices on Ben Jones St., Grenville (St. Andrew, Grenada) and Cane Garden, Kingstown (St. George, Saint Vincent and the Grenadines).
• Contractual Relationship: This Agreement is a legally binding contract between you and KaribFusion LLC, covering your use of all Website features and services.

1.2 Relationship with Restaurants & Delivery Partners

• Independent Operators: The restaurants featured on our Websites operate independently and have contractual agreements with KariBites. They are solely responsible for food preparation, safety, quality, and adherence to the laws, rules, and regulations governing food services.
• Delivery Services: Some deliveries are performed by KariBites’s Delivery Partners (“KDPs”). While these partners operate under agreements that enforce compliance with relevant laws (including traffic laws and insurance requirements), KariBites remains responsible for addressing any delivery issues that arise.

1.3 Use of the Websites

• Eligibility: Only the authorized holder of the payment method (or a minor under parental/guardian supervision, with the requirement that the parent/guardian reads and agrees to this Agreement) may use the Websites. Users under the age of 13 are strictly prohibited.
• Account Registration: Access to certain features requires the creation of an account (“Account”). You agree to provide accurate, current, and complete information, and to update such information as needed. Failure to maintain accurate information may result in blocking or suspension of your access.
• Security: You are responsible for maintaining your account's confidentiality, including your password. Notify KariBites immediately of any unauthorized use or breach.

1.4 Alcohol and Credit Policies

• Alcohol Policy: In jurisdictions permitting alcohol delivery, orders containing alcoholic beverages require the purchaser to be at least 18 years of age and to present valid government-issued identification at delivery or pickup.
• Credit Policy: If you experience errors with your order (including payment discrepancies), you may be eligible for a credit if you notify us within 15 days of the order date.

1.5 Intellectual Property & Content Use

• Ownership: All content on the Websites – including text, photos, videos, graphics, and software – is either owned by or licensed to KariBites. You are granted a limited, non-exclusive, non-transferable license for personal use only.
• Prohibitions: You may not redistribute, reverse-engineer, decompile, or alter any content or software downloaded from our Websites.
• User Content: Any User Content (e.g., reviews, ratings, comments) you post grants KariBites a perpetual, irrevocable, and sublicensable license to use and display such content for business purposes.

1.6 Conduct and Prohibited Activities

When using our Websites, you agree:

• Not to use another person’s account without permission.
• To comply with all applicable laws, including those concerning online conduct and data use.
• Not to use automated means to extract data (e.g., web crawlers or spiders) unless expressly permitted.
• Not to engage in any activity that could harm the security or integrity of the Websites or other users’ experience.

1.7 Third-Party Links & Additional Terms

• Third Party Websites: Our Websites may include links to third-party sites. KariBites does not endorse and is not responsible for the content or functioning of these sites.
• Additional Terms: Your use of certain features may also be governed by additional guidelines or policies published on the Websites.

1.8 Disclaimer & Limitation of Liability

• Disclaimer: The Websites and associated content are provided “as is” with no warranties, express or implied. KariBites does not guarantee uninterrupted or error-free service.
• Limitation of Liability: KariBites is not liable for any indirect, incidental, or consequential damages arising from your use of the Websites, including issues related to food quality, delivery delays, or unauthorized access.

1.9 Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Grenada and applicable OECS countries. Any disputes arising under this Agreement will be subject to the jurisdiction of the competent courts in these territories.

2. KariBites Transaction Policy

2.1 Payment & Refund Policy

• Accepted Payment Methods: KariBites accepts cash on delivery and electronic payments made at the time of order.
• Refunds: Refunds are issued only under certain conditions (e.g., non-delivery due to factors within our control). Refund requests must be submitted within 24 hours of the incident for eligibility.

2.2 ID Verification

• Customer Verification: For certain orders, you may be required to upload a valid government-issued identification to confirm your identity. This step is designed to maintain security and the integrity of transactions.

2.3 Restaurant-Related Issues

• Delayed Preparation: In times of high demand or due to unforeseen operational challenges, restaurants may experience delays. KariBites is not responsible for delays that arise from the restaurant’s side.
• Unavailable Items: If a restaurant runs out of an item you ordered, you will be notified. You may opt for a substitution or receive a full refund for the unavailable item.
• Operational Issues: Should a restaurant be unable to fulfill your order due to operational challenges, you will be informed promptly, and we will work to provide an alternative solution or issue a refund. KariBites is not liable for disruptions caused by such operational issues.

2.4 Delivery Conditions

• Delivery Delays: Delivery times may be impacted by factors such as adverse weather or traffic conditions. While we aim to deliver as quickly as possible, KariBites is not liable for delays beyond our control. We will strive to keep you updated on any significant delays.

2.5 Fraud Prevention and Security

• Monitoring & Detection: Our systems continuously monitor for fraudulent activities. In instances where suspicious activity is detected, further verification may be required.
• Action on Suspicious Transactions: If a transaction is flagged for potential fraud, KariBites reserves the right to suspend or cancel the transaction and/or account until further investigation is completed.
• Reporting Fraud: If you suspect any fraudulent activity or unauthorized transactions, please contact us immediately at finance@karibites.com. KariBites will investigate all reported incidents and cooperate with law enforcement if necessary.
• Legal Consequences: Engaging in fraudulent activities may result in legal actions, including civil or criminal penalties.

2.6 Limitation of Liability for Transactions

• Unforeseen Issues: While we work to ensure a seamless delivery experience, KariBites will not be liable for losses, damages, or inconveniences due to unforeseen issues (including delays or unavailable items). This limitation is subject to the legal rights available to each party.

2.7 Communication and Policy Updates

• Policy Updates: KariBites reserves the right to modify these transaction terms. Any updates will be communicated via email and will take effect immediately upon posting.
• Continuing Agreement: By continuing to use the Websites after updates, you agree to be bound by the revised terms.

3. Final Provisions

• Violations: Any violations of this Agreement by users may result in legal remedies, including the blocking of access to the Websites. KariBites reserves all rights to protect its property and the integrity of the services.
